Hawsons Corporate Finance, alongside MD Law and SMH Group, have advised Barnsley-based manufacturer Manvers Engineering on its transition to an Employee Ownership Trust (EOT). Using their patented technology, Manvers Engineering design and manufacture specialist spill control products.
This transition to employee ownership secures the long-term future of the business, while transferring a majority ownership stake to its employees. It forms a key part of the company’s succession planning, recognising the contribution of its people, and preserving its family values. The move also provides stability and opportunity for continued investment and growth.
Jack Ware, Corporate Finance Director at Hawsons led the transaction. Specialist tax advice was provided by the Hawsons Transaction Tax Team: Stephen Charles (Tax Partner); Charlotte Owen (Tax Senior); and Ben Aris (Assistant Tax Manager).
Corporate legal advice was provided by James Burdekin of MD Law, with commercial property aspects handled by Howard Wade.
Manvers Engineering’s accountants, SMH Group, provided support on the transaction led by Lee Smith, Liam Ripley and Ross Jordan. Working together, the team were able to provide a smooth transition experience for Colin and Carol Ibbotson.
Colin Ibbotson commented:
“Moving to an employee ownership trust is a significant step forward for Manvers Engineering, and one that reflects what our business is built on, the commitment and expertise of our team. We wanted a succession route which looked after our people and protected the values that got us to where we are today”.
Jack Ware added:
“It has been a pleasure to support Colin, Carol and the team at Manvers Engineering on their journey to employee ownership. They are a highly specialised business with a strong market reputation and a workforce which is central to their success. Having assisted numerous clients transition to employee ownership through an EOT model, we knew that this structure would be a natural fit for Manvers”.
Ross Jordan also stated:
“The EOT model is a transformative solution for owner-managed businesses, ensuring continuity, rewarding teams, and preserving independence. As trusted advisors, we have proudly supported Manvers Engineering since its incorporation, guiding them through this milestone transaction and their impressive 29-year journey. We look forward to continuing our partnership and supporting their future success”.
Employee ownership continues to attract interest from owner managed businesses across the UK manufacturing and engineering sector. For many businesses, an EOT offers a balanced solution that supports succession, underpins long-term investment, and creates greater alignment between shareholders, managers and employees.
Hawsons has developed a strong track record in advising businesses on EOT transitions, bringing together Corporate Finance, tax and wider advisory expertise to support clients from initial planning and valuation, all the way through to structuring, funding, and completion.
